NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN

1. SPONSOR: MrsP Enterpises, LLC (http://www.MrsP.com)
2. CONTESTANT: Children ages 4-13 who meet all eligibility requirements and submit an Entry (as such term is defined below) accompanied by the online acceptance of this form that constitutes the permission from their parent or legal guardian and such parent or legal guardian’s unconditional acceptance of all terms and conditions contained herein.
3. RESPONSIBILITY: Contestant's parent or legal guardian agrees to assume all legal responsibilities and liabilities of Contestant.
4. ENTRY: The online Internet form (coming September 1st) is the only manner in which Sponsor accepts entries from contestants.
5. ELIGIBILITY:  All Entries must be in English. To participate, contestants must be: (i) between 4 and 13 years of age; and (ii) a legal resident of one of the 50 United States or the District of Columbia.  Entries originating from residents of any other jurisdiction are not eligible for entry.  Only one entry per child will be accepted.
6. REPRESENTATIONS AND WARRANTIES:  Each of Contestant and Contestant’s legal guardian(s) hereby represent and warrant that :  (i) the Entry is wholly original to Contestant; (ii) the Entry is owned solely by Contestant; (iii)  Contestant has the authority to grant the rights in and to the Entry pursuant to Paragraph 9 below;  (iv) the Entry is not subject to any liens, litigation, claims or clouds which may affect Sponsor’s rights in and to the Entry; (v) the Entry must not and does not infringe upon any third party rights, and (vi) the Entry has not and will not be published by Contestant or any third party. Employees of Sponsor or its parent and affiliated companies are ineligible to participate in the Contest. Sponsor shall not consider Entries from Contestants older than 13 years of age, and Sponsor shall not be responsible for inaccurate, fraudulent, incomplete, stolen, lost, illegible, or late entries, each of which will be disqualified. Void where prohibited or restricted by law, and subject to all federal, state and local laws and regulations.
7. PRIZES:
   GRAND PRIZE: Two Contestants Entries will be produced and published as a read-aloud book performed by Mrs P, will be posted on (http://www.MrsP.com) and, at Sponsor’s sole discretion, may be posted on any other Website URL suitable for viewing by children. Each Grand Prize winner shall receive one (1) published copy of their winning Entry.  Both grand prize winners will also each receive one (1) $25 gift certificate to Powells.com. (1)creative prize pack from Sakura of America approx value $25 (1) $25 Buyer Topia Gift Certificate every month for a year.   One grand prize will be awarded to a Contestant between 4 and 8 years of age, and one grand prize shall be awarded to a Contestant between 9 and 13 years of age.
   RUNNERS UP:  Sponsor shall award up to eight (8) other contestants with $25 gift certificates to Powells.com, prize packs from Sakura of America and a $25 Buyer Topia Gift Certificate.
   All prizes will be awarded, provided a sufficient number of eligible Entries are received.
8. PROCEDURES: Sponsor shall begin accepting Entries on September 1, 2011 and stop accepting Entries on October 15, 2011.  A panel of Sponsor’s judges will choose the two (2) Grand Prize winners (“Winners”) and up to eight (8) Runners Up (“Runners Up”). The Grand Prize winners will be announced on the Website (www.MrsP.com) on or before January 15, 2012. The winning stories will be filmed and posted on or before March 30, 2012.
9. CONDITIONS: Each contestant agrees that: (i) he/she will be bound by the Official Rules and the Sponsor's decisions; (ii) the Entry will not be acknowledged or returned; (iii) neither the Sponsor, nor any of its officers, directors, shareholders, employees, agents or representatives are responsible for claims, injuries, losses or damages of any kind resulting, in whole or in part, directly or indirectly, from the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of any prize or participation in this Contest or in any activity related thereto. By entering this Competition, Contestant explicitly certifies that he/she meets the eligibility requirements as set forth in these Official Rules and agrees that in the event he/she is chosen as a Winner, that Contestant and Contestant’s legal guardian(s) irrevocably assigns to Sponsor all universal and perpetual right title and interest in and to the Entry, including, without limitation, the copyright thereto and right to develop, produce, publish, distribute, perform and otherwise exploit the Entry and derivative versions thereof by any and all methods, manner and devices whether now known or hereafter devised and Sponsor shall have no further obligations to such Contestant or such Contestant’s parent or legal guardian(s) in connection therewith.  Sponsor shall also obtain the exclusive right to use and Contestant’s biographical information provided that Sponsor shall not publicly disclose any private personal information such as street address, telephone number, and email address.  Contestant and Contestant’s legal guardian agrees to sign all documents consistent herewith and required by Sponsor to effectuate the purpose of these Contest Rules and all other terms and conditions in connection with the Contest.
10. PRIZE ACCEPTANCE: Sponsor shall use reasonable best efforts to notify the winners.  In the event that a winner cannot be located or contacted within five (5) days, winner shall forfeit the prize and Sponsor may elect to either choose another winner or withhold the prize.
11. GENERAL: Contest administration and verification will be supervised by Sponsor.  Sponsor’s decisions are final and binding.  By participating in this Contest, Contestant agrees that the Entry shall be judged per these Official Rules, and Contestant hereby binds himself/herself to these Official Rules, the MrsP Enterprises, LLC privacy policy and the decisions of the judges and Sponsor. Sponsor is not responsible for lost, late, illegible, misdirected, incomplete or garbled entries; for those who cannot access the Internet or cannot click-through for any period of time; for messages that are garbled; if entry is not captured correctly, or for any technical, hardware, software, telephone, Internet, virus contamination, network, human error, electronic malfunctions, Force Majeure or any other problems; or for delay, failure or malfunction for any reason. Sponsor assumes no liability for damage caused to Contestant's or any other person's/entity's computer hardware, software or communications network, regardless of cause. Sponsor reserves the right to terminate/cancel or modify the online entering process at any time or to disqualify any Contestant for any reason. In the event that this Contest is terminated and/or canceled during the Contest Entry Period, Sponsor shall attempt to reward winners based on all Entries received up to the point of termination and/or cancellation. In the case of a dispute regarding the identity of the person submitting an online entry, the entry will be deemed submitted by the name on the registration form. By entering this Contest, Contestant explicitly releases, discharges and holds harmless the Contest Entities (as defined below) and their shareholders, successors and assigns, one and all, from any and all liability, actions, causes of action, damages, actual, incidental or consequential, claims and demands whatsoever in law or equity, including all "costs," which he/she now has or may acquire, by reason of any personal injury, death, loss of or damage to property, or any reason, occurring during or arising out of his/her participation in the Contest.  The Contest Entities and their respective officers, directors, employees, affiliates, related entities, partners, partnerships, principals, representatives, agents, licensees, successors and assigns (i) make no warranty, guarantee or representation of any kind concerning the prizes; and (ii) disclaim any implied warranty. The right to receive any prize is non-assignable and non-transferable and no prize substitution, extension, transfer, exchange or cash equivalent will be allowed. All federal, state and local laws and regulations apply.  Winners and Winner’s legal guardian may be required to sign Affidavits of Eligibility and publicity, liability release forms prior to being awarded their prizes.
    CAUTION: ANY ATTEMPT BY A CONTESTANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
12. MISCELLANEOUS.  If any provision of this Contest shall be deemed to violate any federal, state or municipal law, it shall be amended to conform to such law only to the extent necessary to conform to such law, and all other provisions shall remain in full force and effect.  Sponsor, and all production and hosting agencies shall not be responsible for technical, pictorial, typographical or editorial errors or omissions in any marketing materials or these Official Rules. This Contest is conducted in American English.
13. DISPUTE RESOLUTION / CHOICE OF LAW / REMEDIES. Except where prohibited by law, by participating in this Contest, Contestant agrees that: All issues and questions concerning the Contest and these Official Rules shall be governed by California law without giving effect to any principles of conflicts of law of any jurisdiction. Contestant agrees that any action at law or in equity arising out of or relating to this Contest shall be filed only in the state or federal courts located in California and Contestant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such action. Except where prohibited by law, by participating in this Contest, Contestant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Contest shall be resolved individually, without resort to any form of class action; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Contest but in no event attorneys' fees; and (c) under no circumstances will any Contestant be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  Contestant shall not be entitled to recover any consequential, incidental or punitive damages, and in no event attorneys' fees or "costs." Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above may not apply to you.  Contestant waives any right to seek to obtain equitable relief in any manner and that Contestant’s sole remedy against Sponsor shall be limited to monetary damages at law, if any.
